Service Agreement - Sample

This is a sample of the service agreement I currently use as of October 14, 2025! 


Service Agreement: Elizabeth Adams (Chrysanthemum Bookish) and [Client Name]

I, Elizabeth Adams, the owner of Chrysanthemum Bookish, hereafter referred to as the "Service Provider" or "I", do hereby agree to provide the services outlined below for the undersigned Client.

This agreement ("Agreement") is made and entered into as of the date of signing by and between Elizabeth Adams ("Service Provider") and [Client Name] ("Client"). The parties agree to the following terms and conditions:

  1. Scope of Services
  • The Service Provider agrees to provide the following content for the Client:
    1. 3 TikTok/Instagram posts per week (reels or static content), created, designed, and posted into a Google Drive or Dropbox folder with SEO-friendly captioning and headers.
  • Services will be rendered over a rolling-thirty (30)-day period, which includes a minimum of 12 TikTok/Instagram reels per account per 30 days.
  • The Service Provider agrees to read the Client's books as necessary, extract relevant content, and create materials for posts as part of this service for an additional $50 per book, or $35 per novella as composed of 50k+ being a novel.
  1. Payment Terms
  1. The total recurring fee for services is $100 per month, invoiced on a rolling thirty (30)-day period. The initial invoice will be sent on August 11, 2025, and this Agreement will continue until canceled in writing by either party.
  2. The billing cycle is as follows: The invoice is due on the 10th of each month and covers the service period from the 12th of the current month to the 11th of the following month.
    • Example: The invoice due on August 10, 2025, covers the service period from August 12 – September 11.
  3. Timely Payment and Late Fees: The Client is responsible for ensuring timely payment of all invoices. A $50 late fee will be applied for any payments made more than five (5) days past the due date (i.e., after the 15th of the month).

III. Service Execution & Content Creation

  1. Posting will commence once any necessary account access or training is completed. If delays occur in the first month, any owed posts to meet the minimum will be made up, or the following month’s invoice will be deducted an amount to reflect missing videos. This only applies to the initial month of service.
  2. Training includes watching genre-specific videos, engaging in commenting, sharing, and using TikTok, Instagram, and YouTube Shorts to increase interaction.
  3. The Service Provider agrees not to knowingly engage in the usage of generative AI to create content for the Client. If the Service Provider inadvertently uses generative AI, the content will be replaced at no cost to the Client.
  1. Content Usage & Confidentiality
  1. The Service Provider agrees to use only author-approved materials for promotional purposes or materials that align with the Client’s branding and business needs.
  2. All information shared by the Client with the Service Provider is strictly confidential. This includes the Client's private information such as legal name, address, email, and any PII (Personally Identifiable Information).
  3. Any materials created by the Service Provider remain the sole property of the Client. The Service Provider retains no rights over any designed content.
  4. The Service Provider will not share, redistribute, or use any of the Client’s content, books, or intellectual property for any purpose other than directly benefiting the Client, and only with the Client’s full written consent.
  5. Any unauthorized use of the Client’s intellectual property will be considered a breach of contract and may result in legal action for damages.
  1. Cancellation & Disputes
  1. Cancellation Notice and Fee: Due to the Service Provider's limited client capacity and the need for time to replace lost business, the Client must provide the Service Provider with at least fourteen (14) days' written notice to terminate this Agreement. Failure to provide this 14-day notice will result in the Client being liable for an entire month of invoicing ($100) from the date of cancellation notification.
  2. This Agreement remains in effect until canceled in writing by either party. However, Section IV: (Content Usage & Confidentiality) will remain binding even after termination.
  3. All concerns must be communicated directly to the Service Provider via email or text/call, allowing reasonable time for resolution before filing a dispute. The Service Provider can be reached at:

  4. Filing a dispute without first attempting an amicable resolution via email or text/call will result in automatic refusal of a refund and placement on the Service Provider’s “Do Not Work With” list.
  5. All requests involving piracy, conspiracy, harassment, felonies, theft, defamation of business or character, or any other morally gray area will be immediately denied, the contract revoked, and placement on the Service Provider’s “Do Not Work With” list.
  6. The Service provider cannot and will not make any guarantees on service results. A commitment is made to you via this contract to work and provide services with a goal of growing readership, followers, and gaining an excellent ROI. No refunds will be provided if the service does not meet expected or hoped for goals. Payment is made to the Service Provider for time invested, expertise, and research spent.
  7. This Service Provider does NOT judge based on sex, gender, religious orientation, political affiliation, or otherwise. Services are provided to all paying, honest clients regardless of anything else. Any attempt to change the Service Provider’s mind on who they should serve will result in immediate written revocation of contract.
  1. Delivery Turnaround & No-Refund Policy
  1. The general turnaround time for all services (except PR posting services) is 3-5 weeks. If additional time is required, the Service Provider will inform the Client. If services are completed sooner, this should be seen as a bonus rather than an expectation.
  2. PR clients should expect to see their first post within 2 weeks of fully paid invoice. This allows time for ample book reading, highlighting, hooks/content designed, as well as training to be performed on the account.

  4. By signing this, you are 100% agreeing that you cannot request a refund of services rendered. It will be denied due to this being a custom service that cannot be resold. Although refunds are NOT AVAILABLE, the Service Provider will work with you to resolve any issues you may have in accordance with the refund policy linked above. Please read this policy.

VII. Agreement & Binding Terms

By signing below, both parties acknowledge and agree to the terms and conditions outlined in this contract. The Client understands they are responsible for all invoices incurred, both current and future, and must adhere to the outlined obligations. A digital signature holds the same legal weight as a physical signature.
